1. Agreement

These Terms of Service ("Terms") govern your use of ComplianceGen ("the Service"), operated by VAEDI Limited, a company registered in England and Wales (Company No. 10089191). By accessing or using the Service, you agree to be bound by these Terms.

2. Licence Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes. You may use documents generated by the Service in your own compliance programmes without restriction.

3. Account Responsibilities

• You must provide accurate registration information.
• You are responsible for maintaining the security of your account credentials.
• You must not share your account with unauthorised parties.
• You must be at least 18 years old to use the Service.

4. Acceptable Use

• Do not attempt to circumvent rate limits, usage quotas, or security measures.
• Do not reverse engineer, decompile, or extract the source code of the Service.
• Do not use the Service in any way that violates applicable laws or regulations.
• Do not resell, sublicence, or redistribute the Service without written permission.

5. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate compliance documents. You acknowledge that:

• AI-generated documents are provided "as is" and are draft starting points, not finished compliance deliverables.
• You are solely responsible for reviewing all generated documents with qualified compliance professionals before use.
• AI-generated output does not constitute legal, regulatory, or professional compliance advice.
• We do not guarantee the accuracy, completeness, or regulatory adequacy of any generated content.
• Generated documents should be reviewed against the specific version of frameworks and regulations applicable to your jurisdiction.

6. Subscription and Payment

• Free tier usage is subject to monthly report limits.
• Paid subscriptions are billed monthly via Stripe.
• You may cancel your subscription at any time; access continues until the end of the billing period.
• We reserve the right to change pricing with 30 days' notice.

7. Intellectual Property

The Service, including its design, code, and branding, is owned by VAEDI Limited. Documents generated for you through the Service are yours to use freely. You retain ownership of any content you submit to the Service.

8. Limitation of Liability

• The Service is provided "as is" and "as available" without warranties of any kind.
• VAEDI Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
• We are not liable for any regulatory, legal, or financial consequences arising from your use of AI-generated compliance documents.

9. Termination

We may suspend or terminate your access if you breach these Terms or engage in abusive behaviour. Upon termination, your right to use the Service ceases immediately.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
